Terms & Conditions
1. Definitions
- "Company", "We", "Us", "Our" refers to Cortexial, registered in Malaysia, with offices at 27, Jalan Masjid India, 50100 Kuala Lumpur.
- "Service" refers to AI consulting services offered by Cortexial, including Intelligent Document Processing, Conversational AI Design, and Predictive Analytics Implementation.
- "User", "You", "Client" refers to any individual or organisation that accesses our website or engages our services.
- "Agreement" refers to these Terms & Conditions and any project proposal or engagement letter accepted by both parties.
- "Deliverables" refers to the outputs produced by Cortexial under a project engagement, including but not limited to configured systems, documentation, and training materials.
2. Acceptance of Terms
By using this website or engaging Cortexial's services, you confirm that:
- You are aged 18 or over and have the legal capacity to enter into this Agreement
- Where acting on behalf of an organisation, you are authorised to bind that organisation
- You have read and agree to these Terms & Conditions
3. Service Description
Cortexial provides AI consulting services to organisations in Malaysia and the wider Southeast Asian region. Services are delivered following a written project proposal and engagement letter agreed by both parties. The specific scope, deliverables, timeline, and fees for each engagement are confirmed in the written proposal.
Service availability is subject to consultant capacity. We reserve the right to decline engagement requests at our discretion.
4. User Responsibilities
As a user of our website or client of our services, you agree to:
- Provide accurate and complete information in all communications and project-related submissions
- Cooperate reasonably with project requirements, including providing access to necessary data, personnel, and systems as agreed in the project proposal
- Use our website and any delivered systems only for lawful purposes
- Not attempt to access systems, data, or resources beyond those explicitly granted as part of an engagement
- Notify us promptly of any changes that may affect project delivery
5. Intellectual Property
All content on this website — including text, design elements, and proprietary methodologies — remains the intellectual property of Cortexial. You may not reproduce, distribute, or use this content without our prior written consent.
With respect to project deliverables: upon full payment of agreed project fees, clients receive ownership of the specific configured systems and documentation produced for their engagement. Cortexial retains ownership of underlying methodologies, frameworks, and reusable components used in delivery.
Any client data or materials provided for project purposes remain the property of the client at all times.
6. Payment Terms
- Fees are confirmed in the written project proposal in Malaysian Ringgit (MYR)
- Payment schedules are defined in the engagement letter — typically a portion on project commencement and the remainder on delivery
- Invoices are payable within 14 days of issue unless otherwise agreed in writing
- Late payments may be subject to interest at the rate of 1.5% per month on outstanding balances
- Scope changes agreed during a project may result in revised fees, confirmed in writing before implementation
Refunds are considered on a case-by-case basis. We do not typically offer refunds for completed work phases. If an engagement is terminated by the client prior to completion, fees for work completed to that point remain payable.
7. Confidentiality
Both parties agree to treat all non-public information shared during an engagement as confidential. Cortexial will not disclose client data or project details to third parties without client consent, except where required by law or where data is handled by approved sub-processors under data handling agreements.
Confidentiality obligations remain in effect for three years following project close, unless a separate non-disclosure agreement specifies a different period.
8. Disclaimers
Our services are provided on the basis of professional judgment and available data. We document model assumptions and limitations in all deliverables, and we are transparent about the boundaries of what AI systems can achieve. However:
- We do not warrant that delivered systems will achieve specific business outcomes
- AI models and workflows may require adjustment as underlying data patterns change
- Our website is provided "as is" without warranties of any kind regarding availability or fitness for a particular purpose
- Content on our website is for informational purposes and does not constitute professional legal, financial, or regulatory advice
9. Limitation of Liability
To the maximum extent permitted by applicable Malaysian law, Cortexial's liability for any claim arising from our services is limited to the fees paid by the client for the specific engagement giving rise to the claim.
We are not liable for indirect, consequential, or incidental damages, including lost profits or business interruption, arising from the use or inability to use our services or website.
10. Termination
Either party may terminate an engagement by providing 14 days' written notice. In the event of termination:
- Fees for completed work phases remain payable in full
- Deliverables produced to the point of termination will be provided to the client
- Client data will be returned or securely deleted per the agreed data handling protocol
We reserve the right to suspend or terminate services immediately if a client engages in conduct that is unlawful, abusive, or in material breach of these Terms.
11. Dispute Resolution
These Terms are governed by the laws of Malaysia. In the event of a dispute, we request that both parties first attempt to resolve the matter through good-faith discussion within 30 days of either party raising the issue in writing.
If informal resolution is not achieved, disputes shall be subject to the jurisdiction of the courts of Malaysia.
12. General Provisions
- Entire Agreement: These Terms and any written project proposal constitute the entire agreement between the parties on the subject matter.
- Severability: If any provision of these Terms is found unenforceable, the remaining provisions remain in full force.
- Waiver: Failure to enforce any provision does not constitute a waiver of that right.
- Assignment: You may not assign rights under this Agreement without our prior written consent.
13. Changes to These Terms
We may update these Terms periodically. Material changes will be reflected in the "Last Updated" date above. For active project engagements, material changes will be communicated directly. Continued use of our website constitutes acceptance of the revised Terms.
